InfinityOmnia provides a comprehensive operations management platform that includes:

- InfinityAIQ: IoT, project management, and asset intelligence
- InfinityCXO: Executive dashboards and analytics
Our services are provided on a Software-as-a-Service (SaaS) basis, accessible through web browsers and mobile applications.

3. User Accounts

License to Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use our services for your internal business purposes.
Restrictions: You may not copy, modify, distribute, sell, or lease any part of our services or included software, nor may you reverse engineer or attempt to extract the source code.
6. Privacy & Data Protection
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Payment Terms

Price Changes
We reserve the right to modify our pricing with 30 days' written notice. Price changes will not affect your current billing cycle.
Late Payment
Late payments may result in service suspension. We may charge interest on overdue amounts at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

8. Service Level Agreements
We are committed to providing reliable and high-quality services. Our service level commitments include:
Support Levels
- Critical Issues: Response within 4 hours, resolution target 24 hours
- High Priority: Response within 8 hours, resolution target 48 hours
- Medium Priority: Response within 24 hours, resolution target 5 business days
- Low Priority: Response within 48 hours, resolution target 10 business days
Service Credits
If we fail to meet our uptime guarantee, you may be eligible for service credits as outlined in your service agreement.
9. Limitation of Liability
Important Legal Notice: Please read this section carefully as it limits our liability to you.
To the maximum extent permitted by applicable law, InfinityOmnia shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, or business opportunities
- Loss of data or information
- Business interruption or downtime
- Cost of substitute services
- Damage to reputation or goodwill
Liability Cap
Our total liability to you for any claims arising from or related to these Terms or our services shall not exceed the amount you paid us in the 12 months preceding the claim.
Exceptions
Nothing in these Terms shall limit our liability for:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Gross negligence or willful misconduct
- Violations of applicable law that cannot be limited
10. Indemnification
You agree to indemnify, defend, and hold harmless InfinityOmnia, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of our services
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your infringement of any third-party rights
- Any content you submit to our services
- Your negligent or wrongful conduct
Defense Obligations
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.
Mutual Protection: This indemnification is mutual - we also agree to defend you against claims that our services infringe third-party intellectual property rights, subject to certain conditions outlined in your service agreement.
11. Termination
Termination by You
You may terminate your account at any time by contacting our support team or through your account settings. Termination will be effective at the end of your current billing period.
Termination by Us
We may terminate or suspend your account immediately if you:
- Violate these Terms or our Acceptable Use Policy
- Fail to pay fees when due
- Engage in fraudulent or illegal activities
- Pose a security risk to our systems or other users
Effect of Termination
Upon termination:
- Your access to our services will cease immediately
- We will retain your data for 30 days for potential account reactivation
- After 30 days, your data may be permanently deleted
- You remain liable for all charges incurred before termination
Data Export: You can export your data at any time before termination. Contact our support team for assistance with data export procedures.
12. Governing Law
Applicable Law
These Terms and any disputes arising from or related to these Terms or our services shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Jurisdiction
Any legal action or proceeding arising from or related to these Terms shall be brought exclusively in the federal or state courts located in Delaware, and you consent to the jurisdiction of such courts.
Dispute Resolution
Before initiating any legal proceedings, the parties agree to attempt to resolve disputes through good faith negotiations. If negotiations fail, disputes may be resolved through binding arbitration under the rules of the American Arbitration Association.
Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
